Springpoint Insights Terms of Service
The terms that govern access to and use of Springpoint Insights.

Overview
These Terms govern access to and use of Springpoint Insights, related websites, applications, dashboards, APIs, demos, billing flows, support channels, and services (collectively, the Service). The Service is provided by Tech Local (Pty) Ltd (registration number 2025/315373/07).
If a signed agreement, statement of work, order form, data processing agreement, or product-specific document has additional terms, those additional terms apply and control if there is a conflict.
By accessing or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
1. Eligibility and Accounts
- You must be 18 or older and legally able to form a contract.
- You must provide accurate information and keep your account secure.
- You are responsible for activity under your account, credentials, API keys, connected systems, and invited team members.
- For business accounts, your organisation administrators may provision, manage, suspend, or remove end-user accounts.
2. Description of the Service
Springpoint Insights helps authorised users ask questions of business databases in natural language, generate SQL or database queries, review results, save query workflows, build dashboards or reports, and manage related workspace and organisation settings.
Features, products, pricing, plan limits, integrations, and availability may change over time.
3. Your Content and Permissions
"Your Content" includes materials, data, prompts, messages, files, credentials, database metadata, query text, query results, API requests, generated outputs, and other content you submit, connect, upload, or generate through the Service.
You retain ownership of Your Content. You grant us a worldwide, non-exclusive, royalty-free licence to host, process, transmit, display, and use Your Content solely to provide, secure, support, improve, and operate the Service for you or your organisation, and to comply with law.
You are responsible for ensuring that you have the rights, permissions, notices, and consents needed to submit data to the Service.
4. Database Connections and Customer Systems
- Only connect databases, schemas, tables, accounts, or third-party systems that you are authorised to access.
- Use least-privilege credentials and read-only database users unless a specific written agreement allows broader access.
- Review generated queries and outputs before using them for important business decisions.
- You remain responsible for the accuracy, lawfulness, permissions, backup status, and configuration of your own systems.
5. AI Providers and Outputs
We may use third-party AI model, transcription, and automation providers such as OpenAI, Groq, and similar providers depending on the feature or customer configuration.
Your Content may be sent to those providers to produce outputs as part of the Service. We do not permit AI providers to train on Your Content unless we present a clear opt-in or agree this with you or your organisation in writing.
AI outputs may be incomplete, inaccurate, or inappropriate for your use case. You are responsible for reviewing outputs before relying on them, especially for important, regulated, or high-impact decisions.
6. Acceptable Use
- Do not reverse engineer, interfere with, disrupt, overload, or bypass the Service.
- Do not attempt to access data, accounts, systems, schemas, databases, or networks that are not your own or that you are not authorised to use.
- Do not circumvent quotas, rate limits, billing controls, access controls, or security controls.
- Do not upload malware or engage in abusive, harassing, deceptive, unlawful, or harmful activity.
- Do not submit regulated, sensitive, or special-category data unless your agreement, configuration, and legal basis permit that processing.
- Do not use outputs as the sole basis for legal, medical, financial, employment, credit, insurance, or similarly significant decisions without appropriate human review.
- Do not use the Service where prohibited by applicable law.
We may suspend or terminate access that breaches these Terms or creates risk for the Service, our customers, our vendors, or others.
7. Payment and Invoicing
Paid services are invoiced or charged as agreed in the relevant product flow, order form, statement of work, plan, or invoice. Taxes may apply.
Card data is processed by payment providers; we do not store full card numbers. Refunds are at our reasonable discretion or as required by law or a written agreement.
8. Privacy and Data Protection
Our processing of personal information is described in our Privacy Policy.
For business customers, we may offer or require a Data Processing Agreement where we act as processor/operator and the customer acts as controller/responsible party for customer-controlled data.
9. Security
We use commercially reasonable technical and organisational measures to protect the Service. No service is completely secure. You are responsible for strong credentials, limiting access, protecting API keys, configuring integrations carefully, and promptly telling us about suspected unauthorised access.
10. Service Changes and Availability
We may change, suspend, or discontinue features, products, or integrations with reasonable notice where practicable. We strive for reliable availability but do not guarantee uninterrupted Service.
11. Third-Party Services
The Service may integrate with third-party platforms such as hosting providers, databases, AI providers, payment processors, email providers, analytics tools, and customer-selected systems. Your use of third-party services is subject to their terms and policies. We are not responsible for third-party services that we do not control.
12. Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, uninterrupted availability, or error-free operation.
AI, database, analytics, transcription, dashboard, report, and automation outputs may contain errors. Verify important results.
13. Limitation of Liability
To the maximum extent permitted by law, Tech Local and its directors, employees, contractors, and suppliers are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or loss of profits, data, goodwill, business, or opportunity, arising from or related to the Service or these Terms.
Our total aggregate liability for all claims arising out of or relating to the Service in any 1-month period is limited to the amounts you paid to us for the Service in that period. If you used free services, our total aggregate liability is limited to ZAR 0.
14. Indemnity
You will indemnify and hold us harmless from claims, costs, and losses arising from Your Content, your use of the Service, your connected systems, your breach of these Terms, or your breach of law.
15. Term and Termination
These Terms remain in effect until terminated. You may stop using the Service at any time. We may suspend or terminate access for breach, non-payment, legal risk, security risk, or operational risk.
Upon termination, your licence to use the Service ends. We may retain data as described in the Privacy Policy, any applicable DPA, and any project or subscription agreement.
16. Communications
We may send transactional emails, product notices, security notices, billing messages, and service updates. Marketing messages will be sent only where permitted and will include an unsubscribe where required.
17. Governing Law and Venue
These Terms are governed by the laws of South Africa, without regard to conflict-of-laws principles. You and Tech Local submit to the jurisdiction of competent South African courts.
18. Changes to These Terms
We may update these Terms as our products, services, or legal obligations change. If changes are material, we will take reasonable steps to notify you where required. The effective date above shows the latest version. Continued use after changes means you accept the updated Terms.
